If you are accepting these Terms on behalf of an organization, you represent and warrant that you are authorized to bind that entity, and “you” will refer to both the organization and its authorized users.

You must be at least 18 years old (or the age of majority in your jurisdiction) and legally able to enter into contracts to use the Services. If you access the Services on behalf of an organization, you must ensure that all users comply with these Terms.

4. Description of Services
AcceleraQA provides AI-enabled tools designed to support pharmaceutical quality and compliance professionals with research, document analysis, and related workflows. AcceleraQA does not provide medical, legal, or regulatory advice; you remain solely responsible for verifying outputs, complying with applicable laws, and making final decisions.
5. Service Plans, Fees & Taxes
Access to certain features may require a subscription or fee. Fees, billing cycles, and payment terms are described at the point of purchase.
Unless stated otherwise, all fees are non-refundable.
You are responsible for applicable taxes, duties, or government charges associated with your use of the Services.
6. Acceptable Use Policy
You agree not to:

8. Confidential & Regulated Information
If you choose to input confidential or regulated data (e.g., protected health information, proprietary regulatory submissions), you are responsible for obtaining required consents and ensuring the Services align with your compliance obligations. AcceleraQA disclaims liability for consequences arising from misuse or misclassification of such data.
9. Third-Party Services & Integrations
The Services may rely on or interoperate with third-party providers (e.g., Auth0, OpenAI, Netlify). Your use of those services is subject to their own terms and policies. AcceleraQA is not responsible for third-party acts, omissions, or downtime.
10. Intellectual Property
AcceleraQA and its licensors retain all rights, title, and interest in the Services, including software, text, graphics, logos, and trademarks.
Except as expressly permitted, you may not copy, modify, distribute, or create derivative works from any part of the Services.
Any feedback or suggestions you provide may be used by AcceleraQA without restriction or compensation.

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” ACCELERAQA DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
AI-GENERATED OUTPUTS MAY CONTAIN ERRORS OR OMISSIONS. YOU ARE SOLELY RESPONSIBLE FOR REVIEWING AND VALIDATING RESULTS BEFORE RELYING ON THEM.
ACCELERAQA DOES NOT WARRANT UNINTERRUPTED, SECURE, OR ERROR-FREE OPERATION.
13. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, ACCELERAQA WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUES, DATA, OR BUSINESS OPPORTUNITIES. ACCELERAQA’S TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SERVICES WILL NOT EXCEED THE AMOUNTS PAID BY YOU TO ACCELERAQA IN THE 12 MONTHS PRECEDING THE CLAIM (OR $100 IF NO SUCH PAYMENTS WERE MADE).
14. Indemnification
You agree to indemnify and hold harmless AcceleraQA, its affiliates, and their officers, directors, employees, and agents from any claims, losses, liabilities, damages, costs, or expenses (including reasonable attorneys’ fees) arising out of or related to: (a) your use of the Services; (b) your User Content; (c) your violation of these Terms; or (d) your violation of any rights of another party.
15. Termination & Suspension
You may stop using the Services at any time.
AcceleraQA may suspend or terminate your access if you breach these Terms, fail to pay required fees, or create risk or possible legal exposure for AcceleraQA.
Upon termination, your right to use the Services ends, but sections that by their nature should survive (e.g., Intellectual Property, Disclaimers, Limitation of Liability) will remain in effect.
16. Governing Law & Dispute Resolution
These Terms are governed by the laws of the State of Delaware (USA), without regard to conflict-of-law principles. Any disputes will be resolved exclusively in the state or federal courts located in Wilmington, Delaware, unless otherwise required by applicable law. The parties waive any right to a jury trial.
17. Export Controls
You represent that you are not located in, under the control of, or a national or resident of any country or entity prohibited by U.S. export laws. You will not export or re-export any portion of the Services except in compliance with applicable export laws.
18. Changes to the Services or Terms
AcceleraQA may update the Services or these Terms from time to time. If we make material changes, we will provide reasonable notice (e.g., via email or in-product notification). Your continued use after the effective date constitutes acceptance of the updated Terms.
19. Force Majeure
AcceleraQA will not be liable for delays or failures due to circumstances beyond its reasonable control, including acts of God, natural disasters, war, terrorism, labor disputes, or failures of third-party systems.
